Website Terms of Use

These Website Terms of Use ("Website Terms") govern your use of the website at jubal.law and its pages (the "Site"), which is operated by Jubal Inc, a Delaware corporation ("Jubal", "we", "us"). By using the Site you agree to these Website Terms. If you do not agree, please do not use the Site.

1. The Site and the product are different

1.1 The Site describes Jubal's product, publishes articles and help material, lets a firm request a free trial, and offers a free public citation-checking tool (the "Cite Checker").

1.2 The Jubal product is governed by the Jubal Customer Terms of Service (the "Customer Terms"), which a firm accepts when it signs up (jubal.law/legal/customer-terms). If you request a trial, create an account, or use the Jubal web or desktop application, the Customer Terms apply to that use, and they control over these Website Terms if the two conflict.

1.3 How we handle personal information collected through the Site is described in our Privacy Policy (jubal.law/legal/privacy).

2. Not legal advice

Jubal is a software tool used by lawyers. Jubal is not a law firm, does not provide legal advice, and does not create an attorney-client relationship with anyone. Nothing on the Site — including articles, examples, help pages and the Cite Checker's results — is legal advice. Do not rely on the Site as a substitute for the advice of a lawyer licensed in your jurisdiction.

3. The Cite Checker

3.1 The Cite Checker checks citations in text you provide against public legal sources. It is offered free, as-is, and for convenience only.

3.2 Its results may be wrong or incomplete. A citation marked "verified" may still be misquoted, mis-pinned, overruled, or not support the proposition for which it is cited; a citation marked "not found" may exist. You must check every citation yourself before relying on it or filing anything.

3.3 The text you submit is sent to our servers so the citations in it can be found; it is processed in memory and not stored or logged. Only the citations themselves (not your text as a whole) are sent to the legal research services the tool uses (currently binding.law and CourtListener, and official U.S. Code, eCFR and IRS sources). Do not submit confidential client information you are not permitted to disclose.

3.4 The Cite Checker is rate-limited. Do not use it in an automated way or at a volume designed to burden it.

4. Acceptable use of the Site

You may not: (a) use the Site unlawfully or to infringe anyone's rights; (b) scrape, crawl or harvest the Site at a volume that burdens it, or bypass any rate limit or anti-spam measure; (c) attempt to access non-public parts of the Site or our systems; (d) introduce malware or interfere with the Site; (e) submit false information, another person's contact details, or a trial request for a firm you are not authorized to represent; or (f) use the Site to build a competing product.

5. Intellectual property

The Site and its content — text, design, graphics, code, logos and the JUBAL name and marks — are owned by Jubal or its licensors. You may link to public pages and quote short excerpts for commentary, news reporting or review with attribution. Any other reproduction or commercial use requires our written permission.

6. Submissions

If you send us feedback or ideas through the Site, we may use them without obligation to you. Information you submit in a form is handled under the Privacy Policy.

7. Third-party links

The Site may link to third-party sites and sources (for example, the public legal databases the Cite Checker uses). We do not control them and are not responsible for their content or practices.

8. Disclaimer

THE SITE, THE CITE CHECKER AND ALL SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY CONTENT OR RESULT IS ACCURATE, COMPLETE OR CURRENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUBAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL OR BUSINESS, ARISING OUT OF OR RELATING TO THE SITE OR THE CITE CHECKER, AND JUBAL'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE AND THE CITE CHECKER WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). This Section does not limit liability that cannot be limited by law, and it does not apply to use of the product, which is governed by the Customer Terms.

10. Governing law, steps before a lawsuit, and venue

These Website Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Before either you or Jubal files an action arising out of or relating to these Website Terms or the Site, the party with the dispute will send the other a written notice describing it, and the parties will try in good faith to resolve it. If it is not resolved within 30 days after the notice, either party may require mediation in Palm Beach County, Florida, or by video if both agree, before a single mediator certified by the Florida Supreme Court as a circuit civil mediator, with the mediator's fee shared equally. A party may file an action only after the mediation has ended without a settlement, or 60 days after the mediation demand if no mediation has taken place through no fault of that party. Either party may seek urgent injunctive relief without following these steps, and any limitations period is tolled while the steps run. After those steps, any dispute arising out of or relating to these Website Terms or the Site will be brought exclusively in the state courts located in Palm Beach County, Florida, or the United States District Court for the Southern District of Florida, and you and we consent to the personal jurisdiction of those courts. JURY TRIAL WAIVER. YOU AND JUBAL EACH KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE WEBSITE TERMS OR THE SITE. THIS WAIVER IS IRREVOCABLE. EACH PARTY ACKNOWLEDGES THAT THIS WAIVER IS A MATERIAL INDUCEMENT TO THE OTHER, AND THAT IT HAS HAD THE OPPORTUNITY TO CONSULT COUNSEL ABOUT THIS WAIVER BEFORE USING THE SITE. THIS WAIVER IS MUTUAL.

11. Changes

We may change these Website Terms by posting a new version on this page with a new effective date. Changes apply from that date to later use of the Site.
